Terms of Service

Groundwork uses AI to help drilled-pier and foundation-drilling subcontractors analyze construction documents: extracting takeoff quantities from drawings, reviewing subcontract language, cross-checking a contract against a priced bid, and related tasks. Outputs are drafts to assist your own review, not final work product.

Groundwork is not a law firm, engineer of record, or licensed advisor, and its output is not legal, engineering, financial, or professional advice. AI can make mistakes, miss items, or misread documents. You are solely responsible for reviewing, verifying, and approving every quantity, clause interpretation, redline, proposal, and number before you bid, sign, submit, or otherwise rely on it. Do not submit a bid or execute a contract based on Groundwork output without independent professional review.

You retain ownership of the documents and data you upload ("Your Content"). You grant us a limited license to host and process Your Content solely to provide the Service. You represent that you have the right to upload Your Content and to have it processed, including any third-party documents (e.g., drawings or contracts you received).

To provide the Service we send Your Content to our AI subprocessor (Anthropic) and other infrastructure providers for processing. See the Privacy Policy. We do not sell Your Content, and we do not use it to train our own models.

A workspace owner controls billing and membership and is responsible for activity in the workspace, including charges incurred by members. Keep your credentials secure.

The Service runs on a prepaid balance. You add funds, and each analysis deducts its listed price.

• Charged when you start a run. The listed price is deducted from your balance when a run begins. If a run fails or is interrupted, the charge is refunded to your balance automatically.
• Never above the quote. For size-priced bids, the price is quoted before you commit; if the finished job is smaller, the difference is refunded.
• The optional monthly Intelligence add-on is charged from your balance per calendar month; auto-renew is opt-in.
• Prices are shown in-app and may change prospectively. Added funds are spent at face value and do not expire. Except where required by law or our refunded-on-failure terms, payments are non-refundable. Payments are processed by Stripe; we do not store full card numbers.

Don't misuse the Service: no unlawful use, no uploading content you lack rights to, no attempts to break, overload, reverse-engineer, or scrape the Service, and no using it to build a competing AI training set.

The Service is provided on an "as available" basis. We may modify or discontinue features. We may update these Terms; material changes will be posted with a new effective date.

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUNDWORK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BIDS, OR COST OVERRUNS. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You will indemnify Groundwork against claims arising from Your Content or your use of the Service in breach of these Terms.

You may stop using the Service at any time. We may suspend or terminate access for breach. On termination you may request deletion of Your Content (see the Privacy Policy).

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws rules.
